The specific scope of services for any engagement will be defined in a separate Statement of Work (SOW), Service Agreement, or Order Form . These Terms apply to all service offerings unless explicitly superseded by a signed agreement.
If you create an account on our website, you are responsible for:
- Maintaining the confidentiality of your login credentials
- Providing accurate and up-to-date information
- Notifying us immediately of any unauthorized access or security breach
You agree not to:
- Misuse our website or services in any way
- Attempt to breach, scan, or test our system security
- Use automated tools (bots, scrapers) to access our site
- Post or transmit harmful, illegal, or infringing content
- Impersonate another person or entity

Failure to meet these obligations may delay service delivery, and we will not be liable for resulting issues .
For clients with active service agreements, service levels, response times, and support hours will be defined in the specific Service Level Agreement (SLA) attached to your contract .
Critical issues (business-stopping outages) — Response within 12-24 business hours
High-priority issues (degraded service for many users) — Response within 2-3 business days
Medium-priority issues (single user impaired) — Response within 4-5 business days
Low-priority issues (inconvenience) — Response within 6-7 business day
Response commitments are separate from resolution commitments, as resolution times depend on issue complexity .
We reserve the right to perform scheduled maintenance that may cause temporary service interruptions. We will provide reasonable advance notice when possible .
Fees for our Services will be specified in your service agreement, quote, or invoice. Unless otherwise stated:
- Invoices are due within 30 days of the invoice date
- Late payments may accrue interest at 1.5% per month or the maximum allowed by law
- Unpaid invoices may result in suspension or termination of Services
For managed services billed on a per-user or monthly basis, you will be invoiced according to the terms specified in your agreement .
You are responsible for all applicable taxes, fees, and governmental charges relating to our Services .
Both parties agree to protect each other's confidential information (proprietary data, business plans, client lists, security details) and not disclose it to third parties except as required by law .
We implement reasonable security measures to protect your data. However, no system is completely secure. You acknowledge that data transmission over the internet carries inherent risks .
If we become aware of a security breach affecting your data, we will notify you within 24-72 hours as specified in your service agreement .
Our Services may connect to third-party platforms (e.g., Microsoft 365, AWS, payment processors). We are not responsible for the security, availability, or policies of third-party services .
Our Services are provided "as is" and "as available." We make no warranties that:
- The Services will be uninterrupted or error-free
- Results or outcomes will meet your specific expectations
- All security threats can be prevented
To the fullest extent permitted by law:
- Our total liability to you for any claim arising from these Terms or our Services is limited to the total fees paid by you in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages (including lost profits, data loss, or business interruption)
You acknowledge that our Services are not designed for life-safety or mission-critical applications where failure could cause death, personal injury, or severe property damage. Use of our Services in such contexts is at your own risk .
Service agreements typically run for 12-month terms with automatic renewal, unless otherwise specified. Termination requires 60-90 days' written notice before the renewal date .
Either party may terminate this agreement with written notice if the other party materially breaches these Terms and fails to cure the breach within 30 days of receiving notice .
We may suspend your access to our Services if:
- Payment is overdue
- We reasonably believe your use poses a security risk
- You violate these Terms
Upon termination, we will:
- Provide current documentation (network maps, credentials, license inventories)
- Transfer administrative access
- Assist with data migration as requested
- Return all client data and materials
A cooperative transition is billed at standard rates unless otherwise specified. We do not hold data hostage .
These Terms shall be governed by and construed in accordance with the laws of the state where our principal office is located, without regard to conflict of law principles .
Any dispute arising from these Terms or our Services will first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association .
We reserve the right to modify these Terms at any time. Material changes will be communicated by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Reasonable efforts to notify users via email or website notice
Your continued use of our Services after changes constitutes acceptance of the updated Terms.
These Terms, together with any signed service agreement or SOW, constitute the entire agreement between you and myConfident.com and supersede all prior agreements .
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect .
Our failure to enforce any right or provision does not constitute a waiver of that right .
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets .
